Supplemental Terms & Conditions

1 Incorporation; Scope; Definitions; Order of Precedence.

These Supplemental Terms and Conditions (these “Supplemental Terms”) apply to each purchase order, release, or other ordering document issued by REFA Erection, Inc. (“Buyer”), that relates in any way to structural steel erection materials or services, including without limitation the fabrication, supply, delivery, and/or installation of such materials and related services (the “Work”). These Supplemental Terms are in addition to Buyer’s Terms and Conditions (the “Terms”), which are published online and incorporated into each PO, and are themselves incorporated into each applicable PO by reference with the same force and effect as if fully set forth therein. Capitalized terms used but not defined in these Supplemental Terms have the meanings given in the Terms. These Supplemental Terms form part of the Agreement. If there is any conflict between these Supplemental Terms and the Terms with respect to the Work, the provision that imposes the greater duty on Seller will control.

2 Codes and Industry Standards.

All Work must comply with the latest editions of applicable codes and standards (e.g., CRSI Manual of Standard Practice, ACI 318, ACI 315, ASTM standards), the Contract Documents, and all Applicable Laws. Where requirements conflict, the more stringent requirement applies.

3 Approved Placing Drawings.

Seller will fabricate and place reinforcing steel only from placing drawings and bend schedules approved by Buyer (and by any Upstream Party or engineer of record where required), unless Buyer authorizes Seller in writing to proceed otherwise. Seller is responsible for the timely preparation and submission of any shop drawings, placing drawings, and bar lists required by the Contract Documents.

4 Bend Accuracy; Fabrication Tolerances.

Seller warrants that all reinforcing steel is fabricated in accordance with the approved placing drawings and bend schedules and within the applicable ASTM and CRSI tolerances.

5 Bar Substitutions.

No substitution or change in bar size, spacing, grade, lap length, splice location, or reinforcement configuration is permitted without Buyer’s prior written approval.

6 Mechanical Couplers.

Mechanical couplers must be Buyer-approved products installed in accordance with the manufacturer’s recommendations and the Contract Documents. Seller will furnish all required certifications and testing documentation.

7 Welding of Reinforcing Steel.

Seller will not weld reinforcing steel unless the steel is specifically identified as weldable (e.g., ASTM A706) and welding is approved by Buyer. All permitted welding must conform to applicable codes, standards, and the Contract Documents.

8 Prefabricated Assemblies.

Seller warrants that prefabricated reinforcing assemblies and cages are fabricated square, dimensionally accurate, and suitable for lifting, handling, and installation without permanent deformation.

9 Fabrication Errors.

Seller will bear all costs arising from incorrectly fabricated materials, including replacement material, labor, expedited shipping, schedule impacts, and associated damages.

10 Mill Certifications; Traceability.

Before installation (and, for supplied materials, before or with delivery), Seller will furnish mill test reports, certificates of compliance, heat numbers, domestic-origin documentation, and all other documentation required by the Contract Documents or otherwise reasonably requested by Buyer. Seller will maintain full traceability of all materials from mill through fabrication, delivery, and installation, and bundles will remain tagged and identifiable until incorporated into the Work.

11 Condition; Rust and Contamination.

Light surface oxidation consistent with the applicable ASTM requirements is not cause for rejection. Reinforcing steel exhibiting excessive corrosion, pitting, contamination, paint, oil, grease, or other deleterious substances will be rejected. Buyer’s reasonable determination of acceptability is final.

12 Delivery, Storage, and Handling.

Seller will protect materials from contamination, excessive corrosion, mud, oil, grease, and physical damage during transportation and storage, and will maintain bundle tags and identification. Risk of loss remains with Seller as provided in the Terms.

13 Placement and Installation.

Seller is solely responsible for the placement, spacing, clear cover, lap lengths, splice locations, supports, tying, and securing of reinforcement in accordance with the Contract Documents and applicable codes and standards.

14 Concrete Cover.

Seller warrants that reinforcing placement will achieve the required concrete cover throughout the Work. Any corrective work resulting from insufficient cover is Seller’s responsibility and at Seller’s expense.

15 Bar Supports.

Seller will furnish all chairs, bolsters, spacers, ties, and supports necessary to maintain reinforcement in its required position before and during concrete placement.

16 Embedded Items; Coordination.

Before concrete placement, Seller will verify and resolve conflicts between reinforcement and embeds, anchor bolts, sleeves, conduit, and other embedded items, and will coordinate its Work with other trades.

17 Field Changes; Discrepancies.

Seller will immediately notify Buyer upon discovering any discrepancy among the placing drawings, structural drawings, specifications, or field conditions, and will not modify reinforcement without Buyer’s written direction from Buyer.

18 Inspection; Hold Points.

Seller will not conceal reinforcing steel or authorize or permit concrete placement until all required inspections have been completed and accepted. Seller will honor all designated hold and witness points and will not proceed past a hold point without Buyer’s written release.

19 Correction of Rejected Work.

Seller will promptly correct, at its sole expense (including without limitation all reinspection and retesting costs), all Work rejected by Buyer, any Upstream Party, or any inspector.

20 Concrete Pour Delays.

If a concrete placement is delayed or canceled due to deficiencies in Seller’s reinforcing Work, Seller will be responsible for all resulting costs, including without limitation inspection, standby time, concrete cancellation, pumping, labor, equipment, and schedule impacts.

21 Sequencing and Manpower.

Seller will provide manpower sufficient to support Buyer’s scheduled concrete placements, including on weekends, holidays, and with overtime as necessary to recover schedule delays caused by Seller.
